ORGANISATIONAL BYLAWS OF THE MEDICAL ENTITY AC MEDICAL T. CIĄĆKA SPÓŁKA KOMANDYTOWA
("Rules")

§ 1
GENERAL PROVISIONS
- Regulations are established for the treatment entity operating under the name: AC MEDICAL T. CIĄĆKA SPÓŁKA KOMANDYTOWA with its registered office in Stara Wieś, ul. Limonkowa 1, 05 - 830 Stara Wieś (Nadarzyn), entered in the Register of Entities of the National Court Register kept by the District Court for the Capital City of Warsaw in Warsaw, XIV Economic Division of the National Court Register under the KRS number: 0000977995, NIP: 5342652263, REGON: 522350196, entered in the Register of Entities Performing Medical Activities, kept by the Mazovian Governor with the book number 000000253460-W-14 (hereinafter: "Treatment entity").
- The Regulations set out the manner and conditions for the provision of health services by the Healthcare Provider, including by medical professionals employed by or working with it.
- The Treatment Entity operates on the basis of:
- generally applicable laws, including in particular:
- Act of 15 April 2011 on therapeutic activity (hereinafter: 'law on medical activity");
- Act of 6 November 2008 on Patients' Rights and Patients' Ombudsman (hereinafter:
"Patients' Rights Act");
- Act of 5 December 1996 on the professions of physician and dentist (hereinafter: "Act on the Profession of Physician and Dentist".);
- executive acts issued on the basis of the aforementioned laws;
- entry in the Register of Entities Performing Medical Activities, maintained by the Mazovian Governor;
- Rules of Procedure.
§ 2
OBJECTIVES AND TASKS OF THE TREATMENT ENTITY
- The purpose of the Treatment Entity is to carry out therapeutic activities in accordance with the principles set out in the Regulations and to take action to protect and improve health, in particular by providing health services.
- Other health promotion activities are also carried out in the Treatment Entity. These activities do not constitute health services within the meaning of the provisions of the Medical Activities Act.
- Tasks that can be carried out by the Treatment Entity include:
- the provision of outpatient specialist health services, including in particular diagnostics and treatment in general and vascular surgery;
- providing individual advice and consultation;
- matching medical devices to patients' needs;
- teaching patients how to use medical devices;
- promoting health-promoting behaviour and shaping and maintaining fitness and performance in people of all ages in order to prevent disability;
- patient education.
§ 3
TYPE OF TREATMENT ACTIVITY
AND THE RANGE OF HEALTH SERVICES PROVIDED
- The Treatment Entity carries out therapeutic activities in the type of outpatient health services.
- The Medical Entity, as part of its activities, provides health services in the field of specialist outpatient treatment (HC.1.3.3.) - vascular surgery (39). The detailed scope of currently performed treatments is presented on the website: https://cpcn.pl/zabiegi.
§ 4
ORGANISATIONAL STRUCTURE OF THE TREATMENT FACILITY AND CONDITIONS OF INTERACTION
- The Treatment Entity performs therapeutic activities in a therapeutic establishment under the name of AC Medical (hereinafter: "Treatment facility"). An organisational unit called the Centre for the Prevention and Treatment of Vascular Diseases (hereinafter: "Organisational unit").
- The Treatment Facility and Business Unit is located at: Edward Habich Street 12/LU5, 02
- 495 Warsaw.
- There are no separate organisational units in the Treatment Unit.
- The Treatment Entity includes the Reception and Administration as an auxiliary organisational unit. Within this cell: employee records are kept; reports and statistics are prepared, commissioned and resulting from separate regulations; draft responses to external letters are prepared, including letters from public administration bodies.
- The detailed scope of activities of the employees or associates of the Treatment Entity shall be specified in particular in the employment contract, contract of mandate or cooperation agreement, as well as the list of duties of the employees or associates.
- The Entity is managed and represented externally by the partners representing the Medical Entity in accordance with the articles of association and the provisions of § 9 of the By-Laws.
- The Treatment Facility and the Organisational Unit and the persons employed in them work together to ensure the smooth and efficient functioning of the Treatment Facility in terms of diagnostic and therapeutic as well as administrative and economic aspects.
- Interaction is carried out in compliance with generally applicable legislation and with respect for patient rights.
- The following posts operate in the Treatment Facility:
- Manager/Director;
- Doctor/Doctor;
- Nurse Practitioner/Nurse;
- Support staff (reception).
- Persons holding individual positions in the Treatment Facility, carry out the following duties:
- Manager/Director:
- organising and directing the work of the staff of the Treatment Facility;
- approval of investment, recovery and audit plans;
- issuing internal normative acts;
- issuing authorisations and powers of attorney;
- appearing on behalf of the Healthcare Provider before authorities, courts and administrative bodies;
- concluding contracts for medical services and entering into civil law contracts for the benefit of the Medical Entity;
- Establishing cooperation (conclusion of employment contracts or service contracts) with the staff of the Treatment Entity;
- public speaking and working with the media.
- Doctor/Doctor:
- carrying out consultations and procedures in the field of general surgery;
- carrying out vascular surgery consultations and procedures;
- selecting medical devices;
- patient education
- in accordance with the requirements of knowledge and with due diligence.
- Nurse Practitioner/Nurse:
- performing nursing activities;
- cooperation with the staff of the Treatment Facility;
- implementation of medical orders;
- Monitoring the status and ongoing replenishment of medicines, medical supplies and materials;
- inspecting, maintaining the medical equipment and apparatus of the Treatment Facility in working order and ready for use;
- maintenance of nursing records;
- selecting medical devices;
- patient education
- in accordance with the requirements of knowledge and with due diligence.
- Support staff (Reception and administration):
- making appointments (including by telephone and online);
- creation of visit schedules;
- registration of patients of the Treatment Facility;
- keeping the necessary records;
- receiving and dispatching correspondence and courier deliveries;
- To carry out activities related to the supply of necessary resources, including medical supplies and materials, and necessary external services to the Treatment Facility;
- other technical and administrative support.
§ 5.
PLACE OF SUPPLY OF HEALTH SERVICES
- Health services are provided in the premises of the Treatment Facility and Organisational Unit, located at 12/LU5 Edwarda Habicha Street, 02 - 495 Warsaw.
- The Treatment Entity may provide specialised health services to other treatment entities in accordance with the contracts concluded.
§ 6.
ORGANISATION AND DELIVERY OF HEALTH SERVICES, PAYMENT FOR HEALTH SERVICES
- The Treatment Facility shall provide health services within the scope defined in the Regulations with ensuring proper accessibility and quality of services in the Treatment Facility and its subordinate structures, in a manner that guarantees the most convenient form of use of services for patients, taking into account the requirements set out by law, in particular with regard to respecting patient rights, and the principles arising from medical procedures and standards.
- Health services are provided by physicians employed by the Medical Entity or cooperating with the Medical Entity on the basis of civil law contracts.
- The patient receiving healthcare services provided by the Treatment Entity is entitled to all patient rights reserved in generally applicable laws, in particular the Act on Patient's Rights and Patient's Rights Ombudsman. The Treatment Entity shall make the content of the aforementioned Act available at the patient's request.
- For healthcare services provided against payment, the Treatment Provider shall issue a bill detailing, at the patient's request, the diagnostic and therapeutic procedures carried out.
- The amount of fees for health services is shown Annex 1 to the Rules of Procedure.
§ 7.
MODALITIES OF INTERACTION WITH OTHER TREATMENT PROVIDERS
- The Treatment Entity may cooperate in the provision of services to patients with other treatment providers on the basis of a separate cooperation agreement.
- Interaction with other healthcare providers may concern, in particular, ensuring the correct diagnosis, treatment and rehabilitation of patients and the continuity of the healthcare delivery process.
- The Treatment Entity may make patients' medical records available to healthcare providers if the records are necessary to ensure the continuity of healthcare services, subject to paragraph 4.
- The interaction and possible release of medical records shall respect the generally applicable legislation and the rights of the patient.
§ 8.
RULES ON THE KEEPING OF MEDICAL RECORDS AND THE CHARGING OF FEES FOR MAKING THEM AVAILABLE
- The Treatment Entity maintains and makes available the medical records of patients receiving healthcare services provided by the Treatment Entity in accordance with the rules of law.
- The Treatment Entity shall provide access to medical records on the basis of a request for access to medical records submitted by a person authorised in accordance with generally applicable law.
- A person requesting access to medical records may use the model request for medical records which is a Annex 2 to the Rules of Procedure.
- Medical records may only be released on condition that the identity of the person requesting them is first verified.
- The Treatment Provider shall make the medical records available free of charge.
- The release of records shall be carried out in such a way as to ensure confidentiality and the protection of personal data.
§ 9.
THE MANAGEMENT OF ORGANISATIONAL UNITS AND DEPARTMENTS
- The entity responsible for the management of the organisational units and the organisational units separated in the Treatment Facility is the Manager of the Treatment Facility.
- The managers of the Treatment Facility are the partners representing AC MEDICAL T. CIĄĆKA SPÓŁKA KOMANDYTOWA, based in Stara Wieś.
- The Head of the Treatment Facility may appoint a person responsible for the organisation of activities at the level of individual organisational units separate from the Treatment Facility.
- The Manager of the Treatment Facility may authorise the persons referred to in paragraph 3 above to carry out the following activities:
- Directing the work of a subordinate part (or all) of an organisational unit;
- personnel management of the organisational unit;
- the distribution of tasks (including permanent tasks) and the means to carry them out, taking into account their rank, priority, professional qualifications and the day-to-day workload of the direct performers;
- supervise the efficiency and effectiveness of the work organisation;
- supervising the performance of the organisational unit's staff in their individual tasks;
- providing explanations and professional guidance to staff;
- supervision of staff working conditions, with particular reference to designated sanitary procedures;
- supervise compliance by subordinate staff with the law, internal normative acts and ethical standards in force;
- to propose the reward or punishment of staff in the organisational unit;
- to put forward proposals for improving the work.
§ 9A. MONITORING
- There is video surveillance of the public room where the Reception is located and of the lobby within the Treatment Facility and Unit.
- Monitoring shall not extend to premises other than those indicated in paragraph 1 above, including, in particular, premises where health services are provided.
- The purpose of monitoring is to ensure the safety of patients, employees and associates of the Healthcare Provider.
- The Treatment Facility Manager is responsible for the use of monitoring in accordance with the principles of the law, including the implementation of data protection obligations.
§ 10.
FINAL PROVISIONS
- To the extent not regulated by these Terms and Conditions, the generally applicable provisions of Polish law shall apply.
- The provisions of the Rules apply to all staff of the Treatment Facility and to all patients of the Treatment Facility.
- The Rules and Regulations together with the annexes constitute an integral whole. Any changes to the Rules and Regulations will be made in writing and communicated to the staff of the Treatment Facility and patients.
- The regulations shall enter into force on 25 July 2022.
